Terms of Service
AISUM Co., Ltd. · AEDI-V (Claude Connector · ChatGPT plugin)
This is an English translation provided for convenience. In case of any discrepancy, the Korean original prevails.
AISUM Co., Ltd. (hereinafter the "Company") provides AEDI-V, an AI product matching solution (hereinafter the "Service"). These Terms set out the rights, obligations, and responsibilities of the Company and the User in relation to use of the Service, as well as other necessary matters. These Terms apply where a User uses the Service through Anthropic's Claude Connector or OpenAI's ChatGPT plugin (based on the Model Context Protocol).
Article 1 (Purpose)
The purpose of these Terms is to set out the conditions and procedures for use of the Service provided by the Company, the rights, obligations, and responsibilities of the Company and the User, and other necessary matters.
Article 2 (Definitions)
The terms used in these Terms are defined as follows.
1.
"Service" means AEDI-V, the AI product matching solution provided by the Company, and all related supplementary services.
2.
"User" means an individual or business operator (including a corporation) who agrees to these Terms and uses the Service.
3.
"Connector" means a means of connection, such as Anthropic's Claude Connector or OpenAI's ChatGPT plugin, that calls and integrates with the Service on the basis of the Model Context Protocol (MCP).
4.
"Host" means a third-party AI service, such as Claude or ChatGPT, to which a Connector is connected.
5.
"Input Material" means all materials that a User enters or uploads to the Service, including prompts, images, videos, and text.
6.
"Product Matching Results" means all outputs produced by the Service in response to Input Material, including images, text, and product links.
Article 3 (Effect and Amendment of the Terms)
1.
These Terms take effect when they are posted on the Service screen or on a web page designated by the Company, or otherwise notified to Users.
2.
The Company may amend these Terms to the extent that the amendment does not violate relevant laws, including the Act on the Regulation of Terms and Conditions and the Act on Consumer Protection in Electronic Commerce.
3.
Where the Company amends these Terms, it will give notice from 7 days before the effective date, specifying the effective date and the reason for the amendment. However, where the amendment is unfavorable to Users, notice will be given from 30 days before the effective date.
4.
A User who does not agree to the amended Terms may disconnect the Connector and discontinue use of the Service. Where a User continues to use the Service after the effective date of the amended Terms, the User is deemed to have agreed to the amendment.
Article 4 (Eligibility)
1.
The Service is provided to Users aged 14 or older and is not directed to children under the age of 14.
2.
The age requirements of each Host (such as Claude or ChatGPT) are governed by that Host's own terms, and Users must also satisfy those requirements.
3.
The Service is provided with content suitable for general audiences and does not provide content that presupposes age verification for adults.
Article 5 (Formation of the Service Agreement)
1.
The Service has no separate sign-up procedure and no user accounts. The Service Agreement is formed when a User registers and connects the Connector on a Host and agrees to these Terms.
2.
The Company may refuse to provide the Service, or terminate the Service Agreement, in any of the following cases.
a.
Where the User is under the age of 14
b.
Where the User has misappropriated another person's name or information, or has provided false information
c.
Where the User has previously been restricted from using the Service for violating relevant laws or these Terms
d.
Where provision of the Service is otherwise difficult for technical or operational reasons on the part of the Company
Article 6 (Provision and Modification of the Service)
1.
The Company provides the following services.
a.
Integration functionality through the Connector
b.
Provision of Product Matching Results through AI analysis
c.
Other services determined by the Company
2.
The Company may modify all or part of the services it provides as operationally or technically necessary, and will give advance notice of the details of any such modification.
3.
The Service is provided 24 hours a day, year-round, in principle. However, the Company may restrict or suspend all or part of the Service where there are unavoidable reasons such as system inspection or replacement, equipment failure, or natural disaster.
Article 7 (Special Provisions on Connector Integration)
1.
Where a User uses the Service through a Connector, data passes through the infrastructure of Anthropic or OpenAI in the course of transmitting and receiving requests and results. Matters concerning the processing of personal information in this regard are governed by the Company's Privacy Policy.
2.
The Company is a business operator independent of Anthropic and OpenAI, and neither Anthropic nor OpenAI is a party to these Terms. Provision of the Service and responsibility for it rest with the Company.
3.
The Company has no control over the policies, availability, or feature changes of Host services such as Claude and ChatGPT, and is not liable for any resulting restriction on use of the Service in the absence of intent or gross negligence on the part of the Company.
4.
A User may withdraw the Connector registration (disconnect) on the Host, in which case use of the Service through the Connector ceases immediately.
Article 8 (License to Input Material)
1.
The User grants the Company the right to reproduce, store, transmit, analyze, and process Input Material to the extent necessary to provide the Service. This right is exercised solely for the purposes of generating and providing Product Matching Results and of detecting errors and ensuring the stability of the Service.
2.
The Company does not use Input Material or Product Matching Results for the purpose of training AI models of the Company or of any third party.
3.
Matters concerning the retention period and destruction of Input Material are governed by the Company's Privacy Policy.
4.
The User must hold lawful rights in the Input Material and bears responsibility for not infringing the intellectual property rights, portrait rights, personal information, or other rights of third parties.
Article 9 (Intellectual Property Rights and Use of Product Matching Results)
1.
Copyright and other intellectual property rights in the Service and in works created by the Company belong to the Company.
2.
The Company grants the User the right to use Product Matching Results within the scope of the purpose of using the Service. However, rights in third-party trademarks, product images, product information, and the like contained in Product Matching Results belong to their respective right holders, and use of such material is subject to the conditions set by those right holders.
3.
Given the nature of Product Matching Results, outputs may resemble existing works or be inaccurate. Users must therefore verify their lawfulness and accuracy themselves before any commercial use.
Article 10 (User Obligations and Prohibited Conduct)
Users must not engage in any of the following conduct.
1.
Misappropriating another person's information, entering false information, or making unauthorized use of authentication information
2.
Creating or distributing content that violates laws or public order and good morals (including illegal, obscene, violent, discriminatory, or defamatory content)
3.
Using the Service in connection with unlawful or harmful goods or services, including adult content, gambling, narcotics and illegal drugs, weapons and explosives, counterfeit goods, malicious code, and fraudulent financial products
4.
Infringing the intellectual property rights, portrait rights, personal information, or other rights of others
5.
Creating content that is harmful to children or adolescents, or that is inappropriately directed at them
6.
Interfering with the normal operation of the Service or gaining unauthorized access to its systems (including abuse of automation, reverse engineering, and circumvention of security)
7.
Collecting from or using third-party websites or APIs contained in Product Matching Results in violation of the terms of service, access restrictions, or conditions of use set by those third parties
8.
Reselling the Service for profit or providing it to third parties without the prior consent of the Company
9.
Any other conduct that violates relevant laws or these Terms
Article 11 (Fees)
1.
The Service is provided free of charge.
2.
Where the Company converts all or part of the Service to a paid service, it will give advance notice of the fees, the basis of charging, and the payment methods, and will apply them only after obtaining the User's consent. In such a case, the User may decline the conversion and discontinue use of the Service.
3.
Fees for the Host services to which the Connector is connected (such as Claude and ChatGPT) are governed by the policies of the respective service providers and are not subject to these Terms.
Article 12 (Obligations of the Company)
1.
The Company will not engage in any conduct prohibited by relevant laws or these Terms, or contrary to public order and good morals, and will endeavor to provide the Service stably.
2.
The Company will not provide or disclose Users' personal information to third parties without their consent, and will protect it in accordance with its Privacy Policy.
3.
Where the Company recognizes an opinion or complaint raised by a User as justified, it will handle the matter and reply with the result through the contact channel announced by the Company.
Article 13 (Restriction of Use and Termination of the Service Agreement)
1.
Where a User engages in conduct prohibited under Article 10 or violates relevant laws, the Company may restrict use of the Service or terminate the Service Agreement after prior notice (or after the fact, in urgent cases).
2.
A User may terminate the Service Agreement at any time by disconnecting the Connector on the Host; no separate withdrawal procedure is required.
3.
Where the Service Agreement is terminated, the Company handles the related data as provided in its Privacy Policy.
Article 14 (Suspension and Discontinuation of the Service)
1.
The Company may discontinue all or part of the Service for business or technical reasons.
2.
Where the Company discontinues the Service in its entirety, it will give notice on the Service screen or on a web page designated by the Company at least 30 days before the scheduled discontinuation date. This does not apply where advance notice is impossible for reasons beyond the Company's control.
Article 15 (Protection of Personal Information)
The Company protects Users' personal information as provided by relevant laws. Specific matters concerning the processing of personal information are
governed by the Company's
Privacy Policy.
Article 16 (Disclaimer)
1.
The Company is not liable where it is unable to provide the Service for reasons beyond its reasonable control, such as natural disaster, force majeure, causes attributable to the User, or failure of a Host service (such as Claude or ChatGPT) or other third-party service.
2.
The Company does not warrant the accuracy, completeness, lawfulness, or fitness for a particular purpose of Product Matching Results, and is not liable for any consequences arising from a User's use of Product Matching Results in the absence of intent or gross negligence on the part of the Company.
3.
Transactions concerning third-party products, sellers, or websites contained in Product Matching Results are made between the User and the relevant third party, and the Company is not a party to such transactions.
4.
The Company has no obligation to intervene in disputes arising between Users, or between a User and a third party, through the medium of the Service, and is not liable to compensate for any resulting damage in the absence of intent or gross negligence on the part of the Company.
Article 17 (Damages)
1.
Where the Company or a User causes damage to the other party by violating these Terms, the party in violation is liable to compensate the damage incurred by the other party.
2.
In view of the fact that the Service is provided free of charge, the Company's liability for damages is limited to ordinary damages; the Company is liable for damage arising from special circumstances only where it knew or could have known of those circumstances. This does not apply to damage caused by the Company's intent or gross negligence, or to liability that cannot be limited under relevant laws.
Article 18 (Governing Law and Jurisdiction)
1.
These Terms and the use of the Service are governed by the laws of the Republic of Korea.
2.
Any lawsuit concerning a dispute arising between the Company and a User in relation to use of the Service shall be filed with the court having jurisdiction under the Civil Procedure Act.
